Yuanta Wins CSR Award for 3rd Consecutive Year and Finishes in Top 5% in Corporate Governance Evaluation

The Taiwan Stock Exchange has released the results of its third annual Corporate Governance Evaluation of Public Companies, and out of a total 1,496 companies evaluated, Yuanta Financial Holdings and Yuanta Futures were ranked in the top 5%. Yuanta FHC, along with its subsidiaries, Yuanta Securities, Bank, Futures, Funds, and Life, among others, are deeply honored to have their corporate governance efforts recognized in this way.

Under the guidance of the Taiwan Stock Exchange’s Financial Supervisory Commission, this annual evaluation has become more strict and exacting in each of the three years since it was launched, and the corporate governance quality of the evaluated companies has also risen, making the competition quite fierce. Ranking in the top 5% for three consecutive years, and especially this year, in which many public companies made the cut as “new members”, is no easy task. However, Yuanta FHC has made a priority of strengthening its corporate governance each year, and setting a standard for excellence in this field. The Taiwan Stock Exchange plans to hold an awards ceremony for the evaluation in May.

Yuanta FHC Chairman Rong Jou Wang said that “establishing a culture of corporate governance best practices and looking after the best interests of shareholders” was a fundamental operational principle and objective of Yuanta’s, and remained central to the Group’s corporate culture. Yuanta’s selection, therefore, out of more than 1,000 public companies and for three consecutive years, is a major affirmation of the Group’s CSR efforts. Yuanta Futures Chairman Tien Fu Lin noted that Yuanta Futures has long emphasized corporate governance and actively implemented operational transparency. Yuanta FHC and its subsidiaries have elected three to four independent directors and have established audit committees, ensuring that internal controls are conducted at high standards, and strengthening the supervision and management of the company’s financial and internal controls, as well as legal compliance and the management of latent risks, all of which display Yuanta’s implementation of a high degree of transparency and information disclosure.

Yuanta FHC has made a long-term effort to implement the operational values of corporate governance and information disclosure. In 2007, following the encouragement of the Financial Supervisory Commission, Yuanta led the industry by establishing an audit committee, thereby taking a major step toward enhancing the structure and policies of its board of directors, and demonstrating the company’s deep respect for the interests of its shareholders and stakeholders. Yuanta then moved to create a remuneration committee, comprised solely of independent directors, to strengthen the company’s management impartiality and procedural transparency, and set performance reviews and remuneration standards for the company’s managers. Through many years of work, Yuanta has established a comprehensive system of corporate governance practices and guidelines, effectively implementing them in the company’s operations, and has received significant affirmation from the industry.

Last year, Yuanta FHC was recognized for the third consecutive year with the Platinum Award for Excellence in Governance, CSR, and Investor Relations Benchmarking from the internationally-renowned financial magazine The Asset. In January, 2016, Yuanta FHC was recognized by the Taiwan Corporate Governance Association with the CG6010 (2015) Corporate Governance Framework Assessment Certificate with Excellence, becoming the first company in Taiwan to receive this certification. Together, these awards demonstrate that Yuanta’s efforts in corporate governance have already yielded major results, and are being widely recognized by professional organizations both domestically and abroad. Into the future, we will work to further implement a corporate culture and spirit of integrity management, as well as an operational strategy which will lead to comprehensive growth. Yuanta will work to establish open and transparent communication channels with its stakeholders, and utilize these positive interactions to further improve our CSR performance, thereby realizing the positive effects of our economic, social, and environmental results.
